1. Entire Agreement

The terms and conditions contained herein, including the Appendices hereto, shall constitute the entire agreement between the parties hereto and shall supercede any and all previous oral and written notices, memoranda, documents, agreements and contracts between the parties.

1，完整協議
本合同包含的條款和條件，包括合同附件，構成合同雙方的完整協議，并取代雙方以前所有的口頭或書面通知、備忘錄、文件、協議和合同。

2. Amendments
Amendments to this Contract may be made only by a written instrument signed by a duly authorized representative of each of the parties and,unless prior approval from the examination and approval authority is statutorily required,such amendments shall become effective upon the signing by the duly authorized representatives of the parties.
2，修改
對本合同的修改，只能通過各方正式授權的代表簽署協議進行。除法律要求須經審批機關事先批準外，該等修改經各方正式授權的代表簽字后即刻生效。

3. Headings
The headings to the articles hereof are for ease of reference only,and in no event shall the substance of any paragraph or the intent of the parties be interpreted or controlled by such headings.
3，標題
本合同條款標題僅為參考方便之用，不得用于解釋或控制任何段落的實質內容或雙方的意向。

4. Effectiveness
This Contract shall take effect from the date of its execution by the duly authorized representatives of the parties.
4，生效
本合同自各方正式授權的代表簽署之日起生效。

5. Termination
Either party may terminate this Contract if the other party fails to fulfill or perform any of its obligations hereunder in the event that such failure remains unremedied sixty(60)days after the service of a written notice by the party to the defaulting party specifying the failure in question and requiring it to be remedied.
The termination of this Contract shall not release either party form performating any of its oligations due at the time of such termination.
5，終止
如果一方未能完成或履行其在本合同項下的任何義務，而且未能在另一方向該方送書面通知，指出該方違約行為并要求該方予以改正后六十（60）天該方仍未予以改正，另一方則可以終止本合同。

本合同的終止，不得解除任何一方在終止到期應履行的任何義務。

6. Lanauage
This Contract is executed in Chinese in two(2)counterparts,and each party shall hold one copy.If necessary,it may be translated into other lanauages.However,if there is any discrepancy between the Chinese version and a version in any other language,the Chinese version shall prevail.
6，語言
本合同用中文簽署，一式二（2）份，雙方各持一份。如有必要，可譯成其他文字。但是，本合同的中文文本和其他文本若存在不一致之處，則須以中文文本為準。

7. No Waiver
Unless otherwise specified herein,failure or delay on the part of any party to exercise any right,power or privilege under this Contract shall not operate as a waiver thereof,nor shall any single or partial exercise of any right,power or privilege preclude any further exercise thereof.
7，非棄權
除非本合同另有規定，任何一方未能或延遲行使本合同規定的任何權利、權力或特權，不得視為該方放棄該權利、權力或特權，單項或部分行使任何權利、權力或特權，亦不得排除其對該權利、權力或特權的進一步行使。

8. Subrogation
Under all circumstances,if Party B is in arrears with any amount payable to Party A hereunder,Party B hereby acknowleges and agrees that Party A shall have the right to exercise te subrogation right to claim the debts owed to Party B by any of Party B's debtors.
8，代位追償
在任何情況下，若乙方拖欠其在本合同項下應向甲方支付的款項，乙方確認并同意甲方有權向乙方的任何債務人就乙方的債務行使代位追償權。

9. Severability
If any of the provisions of this Contract or any document executed in connection herewith is hereafter determined to be invalid,illegal or unenforceable in any respect under any applicable law,(i) the validity,legality and enforceability of the remaining provisions shall not in any way be affected or impaired,and such remaining provisions shall remain in full force and effect;and(ii) the invalid,illegal or unenforceable provision shall be replaced by a valid,legal and enforceable provision that comes closest to expressing the true intent of such invalid,illegal or unenforceable provision.
9，可分性
如果本合同或涉及本合同而簽署的任何文件中的任何條款，日后根據任何適用法律被認定在某方面是無效的、不合法的或不能強制執行的，（1）本合同或涉及本合同而簽署的文件的其他條款的效力、合法性和可強制執行性剛不受任何影響或損害，并仍然具有完全的效力；（2）該等無效、不合法或不能強制執行的條款，應以有效、合法和能強制執行且最能表達上述無效、不合法或不能強制執行的條款本意的條款所取代。

10. Notices
Notices required or permitted under this Contract shall be effective if in writing,written in English,sent by registered airmail,or by telex or facsimile confirmed by a registered airmail letter,return receipt requested,addressed as follows;unless otherwise specified herein,notices shall be effective from the date of receipt of the telex or facsimile or,in the event the telex or facsimile is not received,eight(8) days after the service of the registered letter.
10，通知
本合同所要求或允許的通知，應是用英文寫就的書面通知，用航空掛號信寄出，或用電傳或傳真發出，隨之以航空掛號信確認，并隨附回執，寄到下列地址方能生效。除非合同另有規定，通知自收到電傳或傳真之日起生效，或者在未收到電傳或傳真的情況下，掛號信寄出后八（8）天生效。
